Keys to establish a company

1)Place of residence for the representative director

The previous requirement that at least one of the representative directors must have a residence in Japan has been abolished, so that a company can be registered in Japan even if all the representative directors’ residence in overseas. (Japanese nationals are also not required).

2)Document proving the transfer of the investment

When applying for the registration of incorporation of a joint stock company, it is necessary to attach a document that proves the transfer of investment contribution has been made. A copy of the these information ; the name of the financial institution, branch name, transfer amount, name of account holder (founder or the representative directors at the time of establishment), are required.

<Special case>

In case if the founder and the representative directors at the time of establishment are not residence in Japan, third person is allowed as account holder. In this case, a document which clarifying that the founder has delegated the authority to receive the investment to a third party must be prepared.


3)About the institution that handles payments

It includes not only Japanese branches of domestic banks but also Japanese branches of foreign banks and overseas branches of domestic banks.


4)About signature certification

2)Screening Criteria for Business Management Visa

❶About the office

A place of business to operate the business must exist in Japan. However, if the business has not yet started, the facilities used to run the business must be secured in Japan.

In this case, you must have an office separate from your home, and the use in the lease agreement must be for business purposes.

In addition, it requires office space for the president or director in order to run and manage business when operating a store.

❷About business scale

The scale of the business pertaining to the application must fall under one of the following categories;

(a)The business must be operated by two or more full-time employees (Japanese nationality, permanent residents, spouses, or permanent residents) who reside in Japan besides the president or director.

(b)The total amount of capital or investment must be 5 million yen or more.In this case, the 5 million yen must be funds that can actually be used for the business.

(c)The scale must be considered by following (a)or(b).

❸Qualifications of the applicant

If the applicant intends to manage of a business, the applicant shall have at least three years of experience in the management or administration of a business (including a period of time spending to study majoring in a subject related to management or administration at a graduate school) and shall receive remuneration equivalent to or higher than that a Japanese national would receive.


3)Required documents

Can a foreigner establish a company in Japan?

🅰 Yes, of course it is possible to establish a company in Japan. Basically, if a foreigner does not have the status of "Spouse or Child of Japanese National" or "Permanent Resident", he or she must have the status of "Business Manager" to establish a company in Japan. If you are registered as an alien, you can obtain a certificate of seal registration on the same day. It is common to apply for "management/administration" or other status of residence after the registration of the company's establishment.

Can a foreigner be a shareholder (promoter) of a Japanese company?
🅰 Yes, of course. Please feel free to apply. There is no regulations that restricts foreigners to become a promoter.

What documents are required for a foreigner to become a promoter of a Japanese company?

🅰 In the case of a signature in person or self-recognition in person, the following documents are required as proof of identities for foreign nationals to establish a Japanese company.
Can a foreigner be a shareholder (promoter) of a Japanese corporation?

However, there are still some conditions for establishing a company under the new system, and in some cases, a Japanese resident may be required to open a bank account.
Do foreigners always need a visa to establish a company in Japan?
🅰 No, a visa is not always required. There are cases where a foreigner usually works remotely from overseas and comes to Japan only a few times a year using a tourist visa. However, if you will be working in Japan for a long period of time, you will need to apply for a visa.
Can I establish a company in Japan even if I am not a Japanese national?
🅰 There is no problem if you can obtain a certificate of seal registration from your local municipal office in Japan. If your place of residence is a foreign country, you are considered a non-resident. In the past, one resident was required, but the law has been amended to relax the requirements for foreign residents to establish a company.

Is it possible to establish a Japanese branch with only non-residents in Japan?

🅰 In the case of a Japanese branch, a representative in Japan is selected instead of a representative director in a joint stock company. While the representative director can be a non-resident only, the representative must be a resident of Japan.

As I am a foreigner, how much capital do I need to establish a company in Japan?

🅰 Under the Companies Act of Japan, the amount of capital can be set arbitrarily at one yen or more than that. However, there are not many people who set the capital at one yen.The reason for this is that the amount of capital is publicly announced through registration, and a capital of one yen may cause unnecessary anxiety among business partners, who may think that the company has no money. In reality, it is difficult for a company with a capital of one yen to obtain a start-up loan from a bank.

In addition, many foreigners register their companies with a minimum of 5 million yen in capital in order to meet the formal requirements for a business management visa when applying for a business management visa.

Incidentally, if the capital is 10 million yen or more from the time of establishment, the company will become liable for consumption tax from the first term, so many companies choose to set the capital at less than 10 million yen.
When should I pay the capital when I establish a company in Japan?
🅰 In Japan, the capital must be paid in after the notary has certified the articles of incorporation. As a rule, money transferred before the notary has certified the articles of incorporation is not considered capital.

Why do I need to transfer the capital to individual account when I establish a company in Japan?
🅰 In Japan, money equivalent to capital is required to be transferred in order for the Legal Affairs Bureau to verify the amount. However, in Japan it is impossible to open a corporate account before the company is established. Therefore, the capital must be transferred to the personal account of the promoter or representative director who intends to establish the company.
If I help a foreigner to establish a company in Japan and receive a capital deposit into my account, will I have to pay income tax on the amount transferred?
🅰 Since the funds were transferred as capital, no income tax will be charged.
I heard that a bank account is required when establishing a company, but is it possible to open a personal bank account for a non-resident in Japan?
🅰 Unfortunately, it is still difficult to do so in Japan. However, it may be possible to open a bank account in some circumstances, so please consult with us. In some cases, the name of the representative director of a Japanese resident may be required.

Is it possible to register a Japanese company with a private residence as the location of the head office?

🅰 There is no problem in using a private residence as the location of the head office when establishing a Japanese company. However, if it is an apartment or condominium, it is prohibited in principle if the lease agreement states that it is for residential use only or that it may not be used for business purposes. However, if you are applying for a visa or conducting a business that requires a permit, you may not be able to use your private residence as the location.
When registering a company in Japan, do I need to include the name of the building in the address of the head office of the company?
🅰 You do not need to include the name of the building. If your company's head office is located in a building, it does not matter whether you include the building name or not. For example, if you are expanding your business and may expand the number of floors in the building in the future, it is better not to include the building name when registering your company.
Can the name of the company to be established in Japan be the same or similar as other company?
🅰 It is allowed. However, it is not possible to establish two companies with the same name at the same address.
Is it possible to register the name of a company in Roman characters in Japan?
🅰 It is possible. Other characters such as numbers can also be used for the company name of a Japanese corporation.
Do I need to make a seal for my company when I establish a company in Japan?
🅰 A seal is always required when establishing a company in Japan. More than 99% of people who establish a company in Japan will have a special seal (mainly a set of 3) made. The "representative seal" is registered with the Legal Affairs Bureau as the company's official seal.
Is it better to establish a Japanese corporation or a Japanese branch?
Specifically, how much difference will be there in the tax simulation?
🅰 In the case of a Japanese branch, there will be disadvantages in the following two tax calculations.

❶Per capita corporate inhabitant tax


If the capital of the headquarters in the home country is large, the corporate inhabitant tax of the Japan branch will be higher than that of a Japanese corporation established with a small amount of capital.

・In the case of a Japanese corporation with a capital of 5 million yen, the capita corporate inhabitant tax is 70,000 yen.


・In the case of a Japanese branch with a capital of 2.5 billion yen, the capita corporate inhabitant tax is 950,000 yen.

❷Size-based Business Tax

If the capital of the headquarters in the home country exceeds 100 million yen, Size-based Business Tax will be imposed.


・In the case of a Japanese branch with a capital of 2.5 billion yen, the amount of Size-based Business Tax on capital is approximately 5 million yen.




In the case of a Japanese corporation, the tax on a deficit is only 70,000 yen, whereas in the case of a Japanese branch, the tax on a deficit is approximately 6 million yen.

When establishing a company in Japan, which is better, a joint stock company (KK) or a limited liability company (GK/LLC)?
🅰 In the case of a limited liability company, the shareholders are the directors. In addition, a limited liability company does not need to hold a shareholders' meeting. Therefore, a limited liability company is suitable for small companies that are not well governed. If you want to expand and develop your business, it is appropriate to establish a joint stock company. Since a limited liability company does not need to certificate of its articles of incorporation, it has the advantage of a shorter establishment period and lower cost than a joint stock company.
How many business objectives are appropriate when setting up a company in Japan?
🅰 You can have as many business objectives as you want. However, if you have too many, it will be difficult to know what your main business is, so we recommend that you limit the number of business objectives to about 10.

How long does it take to establish a company in Japan?

What should I be aware of establishing a company in Japan as a foreigner?
